Affiliate Agreement

This Affiliate Agreement (the "Agreement") is between Veilon Trading ("Veilon", "we", "us") and you (the "Affiliate"). By applying to and participating in the Veilon affiliate program (the "Program") and signing it, you agree to be bound by it.

1. Appointment

Veilon grants you a non-exclusive, non-transferable, revocable right to promote Veilon's simulated-trading evaluation products using the unique affiliate code and link issued to you on approval. You are an independent contractor; nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship, and you may not bind Veilon or represent that you can.

2. Commissions and customer discounts

• Your code applies a discount to the customer's purchase and earns you a commission, both set by your current tier (Bronze, Silver, or Gold) and by whether the purchase is the customer's first via your code or a recurring one.
• Commission is calculated on the net amount the customer actually pays after the affiliate discount.
• Tiers are assigned automatically from your rolling 30-day count of unique referred customers, and may move up or down accordingly. Recurring commissions are capped per customer as set by your tier; the customer discount continues beyond that cap.
• Veilon may amend tier thresholds, commission and discount rates, and caps on reasonable notice.

3. Payment

Commissions accrue to your Veilon wallet once the related sale matures (a holding period that covers refunds and chargebacks). Matured commissions are payable on an approximately 30-day cycle and are withdrawn via your connected payout method, subject to identity and compliance checks. Commissions on orders that are refunded, charged back, fraudulent, or otherwise reversed are void and will not be paid (or will be deducted if already paid).

4. Acceptable promotion

You must promote Veilon lawfully, honestly, and in line with our brand guidance. You must not:

• make false, misleading, or guaranteed-return claims, or misrepresent that products are anything other than a simulated-trading evaluation with discretionary rewards;
• send spam or unsolicited messages, or use deceptive, incentivised, cookie-stuffing, or malware-based methods;
• bid on Veilon's brand terms in paid search, or impersonate Veilon or operate sites or accounts that could be confused with us;
• self-refer, or generate purchases through your own accounts or those of connected persons to earn commission;
• target minors or any person where doing so is prohibited.

5. Brand use

Subject to this Agreement, you may use Veilon names and logos solely to promote the Program, in unmodified form and per any brand guidance we provide. All goodwill vests in Veilon. We may revoke this licence at any time.

6. Compliance, tax, and data

You are responsible for your own taxes on commissions and for complying with all laws applicable to your promotion (including advertising, consumer-protection, financial-promotion, and data-protection rules). You must handle any personal data lawfully and must not share customer data with us unlawfully.

7. Term and termination

Either party may terminate at any time on notice. We may suspend or terminate you and withhold or claw back commissions immediately for breach, suspected fraud, or conduct that harms Veilon or its customers. On termination your code and link are deactivated; matured, validly-earned commissions remain payable.

8. Confidentiality and no warranty

You will keep non-public information about the Program confidential. The Program is provided "as is". To the maximum extent permitted by law, Veilon is not liable for indirect or consequential loss, and our total liability under this Agreement is limited to commissions properly payable to you in the 3 months before the claim.

9. General

We may amend this Agreement on reasonable notice; continued participation constitutes acceptance. This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
